Abstract Shareholder agreements can be defined as pacts outside the corporate regulation between partners, between them and the company, or with third parties. Their purpose is to regulate matters not included in the articles of association and despite the absence of a comprehensive legal regulation; they constitute a frequently used tool in the development of corporate relations. Their validity, efficacy and breach will be determined by the rules of civil law and to a lesser extent, by corporate law. The author intends to study, at the light of the Civil Law and Common Law systems, the concept, characteristics, legal nature and vicissitudes on the basis of this matter.
