The intrusion of management as major reference of the functioning of our societies, raises the question on the de-institutionalization of the institution and, as reflection, that of the institutionalization of the organization, in a dual evolutionary perspective and directed as unavoidable. The modalities of business management are placed in effect between the institutionalization (caused by the generalization of their practices in the “corporate purposes”) and the institutional frame that surrounds them, and understood in their extension in terms of governance. This ambiguity is tied to the vague definition of the institution and the organization and to their reciprocally problematic location. The general hypothesis of this text will be the orthogonality (and not the opposition) between “institution” and “organization”. It will be reasoned generally from the point of differences and not from the opposition of both terms based on three arguments: a political argument, a theoretical argument and an epistemological argument.
