HUMBERTO FACCO, Javier. Good Faith in the Exercise of Discretionary Contractual Powers (An Interface between Common Law and Civil Law?). Rev. Derecho Privado [online]. 2012, n.22, pp.149-167. ISSN 0123-4366.
Abstract Good faith is not only one of the two poles of Celsus definition of law, but also perhaps the most important general principle of continental European legal tradition. Direct legacy of the roman world, good faith has regained its central position in particular in the theory of obligations and contracts, which finds its highest development. Good faith has also been analyzed and considered in context of the tradition of Anglo-American law. This article addresses precisely the contact zones between the two legal traditions on good faith and its relation to freedom of contract, its effect on the enforceability of the provision, pricing, methods of performing the contract and the exercise of the discretion of the parties. This analysis suggests the reader with issues of good faith and reasonable expectations of parties, contract tissue, and then their relationship with sources of integration of contract.
